Main Purpose of Job

Processes and approves charter resolutions for legal sufficiency as part of the Department’s mission as the central repository for corporate entity formation in the State; provides technical problem resolution to the filing public as to the correctness of public records maintained; works on the Discovery program for forfeited foreign accounts that either receive a vendor payment from the State or pay sales taxes to the Comptroller’s office.

POSITION DUTIES

Position involves reviewing and processing legal documents for a business entity or corporate records department. In summary, the position involves a mix of legal document review, record management, communication with external entities, and system-based processing, all of which require strong attention to detail and the ability to exercise independent judgment to ensure legal compliance and accuracy.

Legal Record Corrections/Adjustments: Requires exercising independent judgment to make necessary corrections or adjustments to the business entity legal records maintained by the department. This involves ensuring that all records are accurate and up to date.

SDAT Filings Management: Responsible for analyzing and completing SDAT (State Department of Assessments and Taxation) online filings by appointment. This involves reviewing all electronic filings for legal sufficiency, entering required information into MBES (presumably a business entity system), and notifying the Charter specialists if a filing does not meet legal standards.

Document Review and Legal Sufficiency: Reviewing and accepting or rejecting corporate documents based on their legal sufficiency. This includes resolutions and all legal entity formations, ensuring that the documents meet necessary legal standards before processing.

Work Order and Document Processing: Performing checks through MBES before processing corporate documents, ensuring all required procedures are followed.

Amendment History Maintenance: May need to build an amendment history for corporate entities in old card files when necessary, indicating a need to maintain historical records and updates.

Foreign Entity Notifications: Send letters to forfeited foreign entities that receive vendor payments from or pay sales tax to the state. They will determine whether these entities need to re-qualify under state laws.

Additional Duties: Require performing other related duties as assigned, which could vary depending on departmental needs.

MINIMUM QUALIFICATIONS

Education: Graduation from an accredited high school or possession of a high school equivalency certificate.

Experience: Six months of experience performing administrative staff, clerical, clerical technical, or secretarial work.

Notes:

1. Candidates may substitute 30 credit hours from an accredited college or university for the required experience.

2. Candidates may substitute U.S. Armed Forces military service experience as a non-commissioned officer involving staff work requiring regular use of independent judgment and analysis in applying and interpreting rules and regulations in accordance with agency laws and policies on a year-for-year basis for the required experience.

DESIRED OR PREFERRED QUALIFICATIONS

Professional oral/written communication and interpersonal skills.

Experience working with Microsoft Office, Goggle Docs (Excel, Word, Access, PPT) and different software using specific examples to analyze and compile data, prepare reports and templates, or other documents.

Experience working with the State Department of Assessments and Taxation (SDAT) internal programs.

Experience working with the public via multi-line phone system, in person, and via written correspondence.

Experience performing mathematical computations and creating and maintaining reports detailing key business metrics.

LICENSES, REGISTRATIONS AND CERTIFICATIONS

Employees in this classification may be assigned duties which require the operation of a motor vehicle. Employees assigned such duties will be required to possess a motor vehicle operator’s license valid in the State of Maryland.
